The Client declares that it is fully aware that it is engaging a private administrative services company.

The services may include, among others:

• Certificate of Status
• LLC Formation
• other services made available on our website.

SunbizHelp.com does not provide:

• legal advice;
• tax advice;
• accounting advice;
• legal representation.

No information made available on this website constitutes legal advice.

By engaging any service from SunbizHelp.com, the Client expressly authorizes ZUFE LLC to prepare and submit electronic documents on its behalf, using exclusively the information provided by the Client itself.

This authorization is limited to the engaged services.

SunbizHelp.com will not make changes to the information provided without the Client's authorization, except when strictly necessary to meet technical requirements of the filing system.

The Client represents and warrants that all information provided through forms, emails, messages, or any other communication channel is:

All documents will be prepared exclusively based on the information provided by the Client.

Before submitting any form, the Client must carefully review all the information provided.

By clicking “Submit,” “Continue,” “Complete Order,” or the equivalent, the Client declares that it:

• confirms its accuracy;
• authorizes its use in the preparation of the documents.

The Client is solely and exclusively responsible for the truthfulness, legality, integrity, and accuracy of the information provided.

The Client acknowledges that it may be held civilly, administratively, tax, and criminally liable for any false, inaccurate, fraudulent, or omitted information.

After SunbizHelp.com and ZUFE LLC complete the submission of the documents, the Client agrees to access the official portal of the Florida Division of Corporations (Sunbiz®) to verify all published information.

The Client must carefully review, among other information:

• Company name;
• Document number;
• Principal Address;
• Mailing Address;
• Registered Agent;
• Members;
• Managers;
• Directors;
• Officers;
• Other information contained in the public record.

If the Client identifies any error arising exclusively from the preparation or submission performed by SunbizHelp.com, it must notify the company immediately in writing through the official support channels.

The failure to verify the information or an unjustified delay in reporting any error may make corrections before the State of Florida impossible, in which case SunbizHelp cannot be held liable.

Unless expressly stated otherwise, the amounts advertised by SunbizHelp.com refer exclusively to the fees for the services provided.

The official fees of the State of Florida (“Government Filing Fees”), taxes (“Taxes”), and other government charges are not included in the price of the service and will be charged separately when applicable.

The amounts of the government fees are set exclusively by the State of Florida and may be changed at any time, regardless of the will of SunbizHelp.com.

SunbizHelp.com has no control over such changes.

All payments must be made in advance through the methods made available on the website.

The provision of services will only begin after payment confirmation.

The Client declares that it is the legitimate holder of the payment method used or that it has legal authorization to use it.

SunbizHelp.com reserves the right to cancel orders identified as potentially fraudulent.

Upon completing payment, the Client expressly requests that ZUFE LLC and SunbizHelp.com immediately begin providing the engaged services.

The Client acknowledges that the preparation, analysis of the information, verification of the data, and internal processing may begin immediately after payment confirmation.

Due to the customized nature of the services provided by SunbizHelp.com, all sales are final.

After payment confirmation, the following will not be accepted:

• cancellations;
• withdrawals;
• credits;
• partial refunds;
• full refunds.

The Client's failure to provide the information, withdrawal from the engagement, changes of plans, closure of the company, rejection of the document due to incorrect information, or any other reason attributable to the Client will not give rise to a right to cancellation or refund.

SunbizHelp.com may, in its sole discretion, grant a refund in exceptional situations, without this constituting an obligation for future cases.

Before initiating any dispute with the credit card issuer, financial institution, or payment platform, the Client agrees to contact SunbizHelp.com in an attempt to reach an amicable resolution.

Filing a chargeback related to services that were actually engaged and started may result in the immediate suspension of the services, without prejudice to the applicable administrative and judicial measures for the recovery of the amounts involved.

SunbizHelp.com reserves the right to present all documentation related to the order, including completed forms, electronic records, proof of acceptance of the Terms of Use, IP records, date and time of the transactions, and any other evidence available for defense before the financial institution.

SunbizHelp.com undertakes to prepare and submit the documents within a reasonable timeframe after receiving all the necessary information.

However, SunbizHelp.com does not guarantee any timeframe for review, approval, issuance of certificates, or processing by the State of Florida.

Government timeframes may vary without prior notice.

Engaging the services of SunbizHelp.com does not guarantee:

• approval of the documents;
• issuance of certificates;
• maintenance of the company's active status;
• acceptance by the State of Florida.

All decisions related to the processing of the documents are the exclusive responsibility of the government authorities.

SunbizHelp.com has no influence over such decisions.

SunbizHelp.com may offer, free of charge, a reminder service for the Annual Report.

This service is made available exclusively as a courtesy to Clients.

Although SunbizHelp.com uses reasonable efforts to send the notifications, it does not guarantee that the reminders will be sent, received, or viewed.

The Client remains fully responsible for complying with all legal deadlines applicable to its company.

To the maximum extent permitted by applicable law, the Client agrees that ZUFE LLC, SunbizHelp, SunbizHelp.com, and their partners, members, officers, directors, employees, contractors, representatives, business partners, and affiliates will not be liable for any losses, damages, fines, penalties, costs, expenses, attorneys' fees, lost profits, lost opportunities, or any direct, indirect, incidental, special, punitive, or consequential damages arising, directly or indirectly, from:

• incorrect, false, incomplete, or outdated information provided by the Client;
• omissions by the Client;
• rejection of documents by the State of Florida;
• requirements imposed by government agencies;
• changes in legislation or government procedures;
• delays or unavailability of government systems;
• unavailability of the official Sunbiz® portal;
• failures of third parties;
• power, internet, or hosting service interruptions;
• acts of God or force majeure;
• improper use of the information by the Client;
• any acts or omissions performed by the Client.

In any event in which the liability of ZUFE LLC is recognized by a final judicial decision, such liability will be limited, exclusively, to the amount actually paid by the Client for the specific service that gave rise to the claim.

The Client agrees to defend, indemnify, and hold harmless ZUFE LLC, SunbizHelp, SunbizHelp.com, and their partners, members, officers, employees, contractors, representatives, and affiliates against any claims, lawsuits, administrative actions, losses, liabilities, fines, penalties, expenses, or attorneys' fees arising from:

• incorrect information provided by the Client;
• violation of these Terms and Conditions of Use;
• improper use of the services;
• violation of any applicable law;
• violation of third-party rights;
• fraud, false statements, or any unlawful conduct committed by the Client.

This obligation will remain in effect even after the completion of the services.

All services are provided “as is” (“AS IS”) and “as available” (“AS AVAILABLE”), without any express or implied warranty.

SunbizHelp.com does not guarantee, among others:

• that the services will be available on an uninterrupted basis;
• that the government systems will be operating;
• that the documents will be approved;
• that no legislative changes will occur;
• that there will be no delays on the part of the government.

To the maximum extent permitted by applicable law, ZUFE LLC and SunbizHelp disclaim all warranties, express or implied, including, without limitation, the implied warranties of merchantability (“merchantability”), fitness for a particular purpose (“fitness for a particular purpose”), and non-infringement of third-party rights (“non-infringement”).

This includes, without limitation:

• visual identity;
