General questions
What is the Florida Annual Report?
The Annual Report is a mandatory annual report that every company registered in Florida must file with the State. It keeps your company active and compliant with the law.
What is the deadline to file the Annual Report?
The deadline is May 1 each year. After that date, the State applies a $400 penalty (except for nonprofits) and the company becomes subject to administrative dissolution.
How long does the State take to process it?
After filing, the State usually processes the Annual Report within a few business days. You receive the confirmation by email as soon as it's done.
Which companies need to file the Annual Report?
Every active company registered in Florida — LLC, corporation, nonprofit and limited partnership — must file the Annual Report every year.
What information is required?
All you need is the company's Document Number. With it we retrieve the official data (addresses, Registered Agent and officers) for you to simply review and confirm.
Can I file the Annual Report late?
Yes. It can be filed even after the deadline, but the State charges a $400 penalty. The sooner, the better — to avoid the company's dissolution.
What are the penalties for not filing?
Not filing leads to a $400 penalty after the deadline and, later, to the company's administrative dissolution, which loses its active status.
How will I receive the filing confirmation?
You receive the confirmation number and the official filing receipt as a PDF, by email, as soon as the State processes it.
What happens after the State processes it?
Your company's active status is updated in Florida's official records and it is compliant for the year.
Can I cancel my Annual Report after filing?
Once filed with the State, the Annual Report cannot be canceled. That's why we review the data with you before filing.
Are you affiliated with the State of Florida?
No. Sunbiz Help is a private, independent service that files the Annual Report on your behalf. We are not affiliated with Sunbiz or the State of Florida.
How much does the Sunbiz Help service cost?
Our service fee is US$ 49, with no hidden fees. The State of Florida fee varies by company type and appears in the cost summary before payment.
Is my payment secure?
Yes. Payment is processed in a secure, encrypted environment. Your data is protected from start to finish.
