Missing the Annual Report deadline can lead to your company being dissolved. The good news: you can bring it back with a reinstatement.

When a company does not file the Annual Report, the State of Florida administratively dissolves it (LLC/corporation) or revokes it (nonprofit), usually in September. The company stops being "active" — but it does not disappear: you can bring it back.

What reinstatement is

Reinstatement is the official request to reactivate a dissolved company. Once approved, the company appears as active again on Sunbiz, usually with its status restored retroactively.

What you pay

  • The reinstatement fee charged by the State.
  • The past-due Annual Reports that went unpaid.
  • The fees tied to those periods.

Warning: you can lose your name

While the company is dissolved, its name can be registered by someone else. If that happens, reinstatement gets more complicated. So the sooner you reactivate, the better.

How to avoid all of this

The simplest way to never need a reinstatement is to not miss the Annual Report deadline. Set a reminder and file early, every year.
