How much does the Florida Annual Report cost? State fees by company type

The Annual Report cost has two parts: the mandatory State fee (which varies by company type) and, if you are late, the $400 penalty.

There is no single price: what you pay depends on your company type. Below are the State of Florida fees currently charged for the Annual Report. These are official amounts, subject to change by the Department of State — always confirm the current fee at the time of filing.

State fee by company type

  • LLC (Limited Liability Company): $138.75
  • For-profit corporation: $150.00
  • Nonprofit: $61.25
  • Limited Partnership / LLLP: $500.00

The late penalty

If you file after May 1, the State adds $400 for for-profit companies. This penalty is automatic and cannot be waived. Nonprofit organizations are exempt from it.

What about a service fee?
